Terms of Service

These terms are an agreement between you and Galla Ai for using Galla Ai at www.galla.ca and in our mobile apps (the “Service”). By creating an account or using the Service you accept them. If you use Galla Ai for a business, you confirm you are allowed to accept them for that business. Our Privacy Policy explains how we handle data and is part of these terms.

Galla Ai is software for keeping a business's books: GST invoices and bills, parties, stock, payments, reports, and preparing GST returns from those books. Chartered accountants can manage many client businesses from one practice.

Galla Ai is a tool. It is not a chartered accountant, tax adviser or law firm, and nothing in it is professional advice. Tax rules change; check important decisions with a qualified professional.

• You must be 18 or older and give accurate details.
• Keep your password safe and don't share your account; give others their own sign-in through Team instead.
• You are responsible for what happens under your account and for the roles you give to the people you invite.
• Tell us at once at support@galla.ca if you think someone else has used your account.

Your books and files belong to you (or to your business). You give us permission to store, process and display them only as needed to run the Service for you, including sending them to the providers listed in our Privacy Policy.

You can download a full backup at any time. You are responsible for the data you enter, for having the right to enter your customers' and suppliers' details, and for keeping records for as long as GST and income tax law requires.

Galla Ai prepares GSTR-1, GSTR-3B and other documents from the books you keep in it. Before anything is filed:

• The business owner, or someone they authorise, must review and approve each return. Approving means you confirm it is correct.
• Filing on the GST portal happens only when you or your CA choose to file, using your credentials and OTP.
• The business stays responsible for the accuracy of its returns, for paying tax on time, and for any interest, late fees or penalties.

We work to keep calculations correct and up to date with GST law, but we cannot guarantee that every return is free of errors, and the GST portal or our filing partners may be unavailable at times. Please file early rather than on the last day.

• A CA can work in a client's books only after being added to that business; the client can remove them at any time from Team.
• A CA who adds a client must have the client's permission to hold their data in Galla Ai, and invites the owner to join.
• CAs remain bound by their own professional duties of confidentiality and care towards their clients.
• Partner tiers and revenue share, once paid plans start, are set out on the partner page and may change with notice.

Features that read bills, statements or spreadsheet columns use AI and can make mistakes. Their output is a draft: check it before you save it. You are responsible for what you save and file.

Mantri, the in-app advisor, answers from your books but can also be wrong, and its answers are not tax or legal advice. The business owner decides whether to turn it on; see our Privacy Policy for what it sees.

Don't use Galla Ai to:

• Create fake invoices, claim input credit you're not entitled to, or break any tax or other law.
• Enter data about people without the right to do so.
• Try to access other businesses' data, probe or overload our systems, or get around limits and security.
• Copy, resell or reverse-engineer the Service.

We may suspend accounts that do, and report illegal activity to the authorities.

Galla Ai is free while in early access. When paid plans start, we will show the prices in the app and give account owners at least 30 days' notice before any charge. You can keep using the free features or download your data and leave. Prices will include GST where it applies.

We aim to keep Galla Ai running at all times, but it may be unavailable for maintenance or for reasons outside our control. We improve the Service often and may change or remove features; if we remove something you rely on, we will tell you in advance where we reasonably can.

The Galla Ai name, logo, software and design belong to Galla Ai. These terms give you the right to use the Service, not to use our brand or copy our software.

You can stop using Galla Ai at any time and ask us to close your account. We may suspend or close an account that breaks these terms, after notice where possible. Download a backup first: once an account or business is deleted, its data is removed as described in our Privacy Policy.

The Service is provided “as is”. To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, interest, late fees or penalties, or loss of data you could have restored from a backup.

Our total liability for any claim about the Service is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

These terms are governed by the laws of India. Please write to us first; most problems are solved quickly that way. Any dispute we cannot settle will be decided by the courts of India.

If we change these terms in a way that matters, we will email account owners and show a notice in the app at least 15 days before the change takes effect. Continuing to use Galla Ai after that means you accept the new terms.
